1. Purpose and Scope

These Terms set out the conditions for using the meeting notes, real-time voice transcription, automatic summaries, agent queries, notes, and workspace features provided by HeyMoa.

You can use the Service after agreeing to these Terms and the Privacy Policy when you sign in.

2. The Service

You can create workspaces and projects and manage meeting notes. HeyMoa transcribes meeting audio in real time and saves it as a transcript.

On the web, HeyMoa records audio from your browser's microphone. In the desktop app, it can also record the sound coming from your computer (including the voices of other participants in a video call) along with your microphone.

During a meeting, decisions, tasks, and questions are organized as they come up, and when the meeting ends it is summarized into an overview, tasks, and decisions. Each organized item is linked to the transcript lines where it was said, as its source.

You can ask the agent questions during and after a meeting. Each answer shows the meeting notes it actually referred to.

You can register workspace members and temporary participants without an account as meeting attendees.

You can share meeting notes by email, connect external tools such as Linear and GitHub as well as external AI agents, and send inquiries and feedback from within the Service.

For a meeting whose recording was paused and never ended, HeyMoa sends one reminder email to the user who last started recording one business day after the pause. After three business days, the meeting may be ended automatically and its analysis may start. When that happens, one more notice email is sent to the same recipient. Business days are Monday through Friday, Korea Standard Time.

The scheduled time of automatic ending is shown in the reminder email and on the note screen, and you can resume recording or end the meeting yourself before then. A meeting that was ended automatically cannot be resumed, and automatic ending cannot be canceled. Meetings may be ended on the same schedule even if no email was received.

HeyMoa sends notifications needed to use the Service as in-app notifications and by email. Service notification emails are not advertising, and optional notifications can be turned off in notification settings or through the unsubscribe link in the email.

Features, usage limits, and the scope of the Service may change depending on how the Service is operated and on pricing policies. Changes that affect you are announced as described in Article 11.

3. Accounts and Workspaces

Children under 14 may not sign up for HeyMoa.

You must keep your account information accurate and make sure your authentication credentials are not exposed to others.

Workspace administrators must set members' access permissions and sharing scope appropriately. You must not access meeting information in a workspace you have not been invited to.

Only workspace administrators can delete meeting notes and workspaces.

If you discover account theft or unauthorized access, you must notify HeyMoa right away.

4. Recording and Use of Transcripts

Before recording meeting audio, you must confirm for yourself the procedures required by law and by your organization's rules, such as notifying attendees and obtaining their consent. Some attendees may not have signed up for the Service, and their voices are processed as well.

When you record computer audio with the desktop app, the voices of other participants in the video call are recorded too, and the same notice and consent procedures are required for them. Microphone and computer audio recording work only when you have allowed them in your operating system.

Automatic transcripts and speaker separation may be inaccurate depending on pronunciation, network conditions, background noise, and the processing results of the speech recognition provider. Assigning names to speakers is your choice, and you are also responsible for checking that those names are accurate.

For important judgments such as those involving contracts, personnel, medical, or legal matters, do not rely on transcripts or automatic summaries alone. They must be checked against the original and by the person in charge.

5. Automatic Summaries and the Agent

Summaries, real-time organization, and answers to questions are produced by large language models and may be factually wrong or miss context. The sources attached to an answer only indicate the material the model referred to and do not guarantee that its conclusions are accurate.

The agent answers from materials in the workspaces you belong to and, when needed, also uses web search results. You can narrow that scope by specifying a project or meeting notes.

You must check the original before using generated summaries and answers in your work.

6. External Tools and External AI Agents

You can connect Linear or GitHub to a workspace, and you decide when to connect and disconnect them.

Before the agent writes to an external tool, an approval screen shows what it will write. Only actions you approve are executed, and links to the results remain in the conversation history.

You can allow external AI agents such as Claude and ChatGPT to read your workspace. Once allowed, the agent can read all projects in the workspace and meeting transcripts (including attendees' utterances and names) within the scope you yourself can view, but it cannot change the content.

An external AI agent's access expires automatically if it is not used for 90 days, and you can revoke it at any time in Settings.

Data passed to external tools and external AI agents is subject to the terms and policies of those services. You must make sure the accounts used for these connections have only the permissions they need.

7. User Content and AI Training

Rights to meeting audio, transcripts, notes, and other content you enter belong to you or the rightful owner.

You permit HeyMoa to transmit, process, store, and display your content to the extent necessary to provide the Service. This includes sending it to speech recognition providers and large language model providers to generate transcripts and automatic summaries. The details are in the Privacy Policy.

HeyMoa does not use your meeting audio, transcripts, notes, questions, or answers to train AI models. The speech recognition and AI providers HeyMoa engages receive this data only on terms that it is not used for training. External AI agents that you connect yourself are subject to their own policies.

You must not process, without authorization, content that infringes other people's personal information, copyrights, trade secrets, or other rights.

8. Prohibited Conduct

Circumventing the Service or its authentication, accessing other people's accounts or workspaces without authorization, and harming the stability of the Service with malicious code or excessive automated requests are prohibited.

You may not use meeting note sharing emails, workspace invitations, or the inquiry feature for advertising, spam, or bulk messages that recipients do not want.

You may not use the Service for purposes that harm others, such as illegal interception, impersonation, or infringement of rights.

9. Suspension and Limitation of Liability

Features may be temporarily suspended because of maintenance, outages, network problems, or issues with external speech recognition or large language model services. HeyMoa will make reasonable efforts to restore the Service and protect data.

HeyMoa does not guarantee that automatic transcripts, speaker separation, automatic summaries, or agent answers are completely accurate or fit for a particular purpose. HeyMoa is not liable for damages arising from using those results without your own verification, except for damages caused by HeyMoa's intent or gross negligence.

10. Account Deletion and Workspace Deletion

You can delete your account at any time from My Account in Settings. If a meeting is being recorded, you can delete your account after the recording ends.

When you delete your account, your workspaces are handled as follows. If you are the only administrator and other members remain, you either hand the administrator role to another member or delete the workspace. You leave workspaces that have another administrator or where you are a member. Workspaces you used alone are deleted.

Deleting your account signs you out on every device right away and cannot be undone. If you sign up again with the same Google account, you get a new account that is not linked to your previous records.

Workspace administrators can delete a workspace. When a workspace is deleted, all members lose access right away; its notes, transcripts, audio, agent conversations, integrations, and invitations are deleted; and every member receives a notice email.

Even if you leave a workspace or delete your account, your name remains in that workspace's past meeting records. Deletion and retention periods are described in Article 6 of the Privacy Policy.

11. Changes to These Terms and Contact

When these Terms change, HeyMoa announces what is changing and the effective date on this page and in the Service starting 7 days before the effective date. Changes unfavorable to you are announced starting 30 days before the effective date, together with a side-by-side comparison of the old and new text.

If you do not agree to the changed Terms, you can delete your account before the effective date. To keep using the Service after the effective date, you must agree to the changed Terms.

Previous versions of these Terms and the periods they applied are listed below.
